Terms of Service
These Terms of Service (“Terms”) govern your access to and use of circle.design (the “Site”) and any related products or services we provide (collectively, the “Services”). The Services are operated by Circle Creative Solutions, LLC, a Delaware limited liability company (“Circle,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Eligibility and authority
You must be able to form a legally binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3) Changes to the Services and Terms
We may update the Services and these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Services after changes become effective means you accept the updated Terms.
4) Accounts (if you create one)
If you create an account, you must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
5) Purchases, subscriptions, and billing (if offered)
If you purchase a product or service through the Services:

You authorize us (and our payment processors) to charge your chosen payment method.

Prices may include or exclude taxes depending on the checkout display and applicable law.

Subscription services, if offered, may renew automatically until you cancel.
Refunds and cancellations are governed by our Refund & Cancellation Policy, and any separate written agreement you have with us.
6) Intellectual property
The Services and all content and materials on the Services (including text, graphics, logos, and software) are owned by or licensed to Circle and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services.
7) Your content (if you submit any)
If you submit, upload, or otherwise provide content through the Services (“User Content”), you represent that you have the rights to do so. You grant Circle a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use your User Content as needed to operate, secure, and improve the Services and to provide the product or service you requested. You remain responsible for your User Content.
We may remove User Content if we believe it violates these Terms or applicable law.
8) Acceptable use
You agree not to misuse the Services. In particular, you will not:

Use the Services for unlawful, fraudulent, or harmful activity;

Violate or infringe the rights of others (including privacy or intellectual property rights);

Send spam, phishing, or other unsolicited or deceptive messages;

Upload or distribute malware or attempt to disrupt the Services;

Attempt to gain unauthorized access to accounts, systems, or networks;

Scrape, crawl, or harvest content or data from the Services in a way that harms the Services or violates applicable law.
We may suspend or terminate access if we believe you violated these Terms.
9) Third-party services
The Services may include links to or integrations with third-party services. We do not control third-party services and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.
10) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
11) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CIRCLE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
12) Indemnification
You agree to defend, indemnify, and hold harmless Circle from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.
13) Termination
We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, pose a risk to the Services, or as otherwise necessary to protect the Services and users. You may stop using the Services at any time.
14) Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
